1. Introduction
These Terms & Conditions and Refund Policy ("Agreement") govern the subscription services offered by Trade Confident LLC ("Company," "we," "our," or "us"). By purchasing a subscription, you ("Subscriber," "you," or "your") acknowledge and agree to these terms.
2. Subscription Services
Trade Confident provides proprietary charting tools and market analysis through a monthly subscription plan. Full Access to the Trade Confident website is based on a monthly membership.
2.1 Subscription Access
- A monthly subscription grants you access to our services for the selected period and will renew automatically unless canceled.
3. Refund Policy
3.1 Non-Refundable Subscriptions
- All subscription purchases are final and non-refundable.
- We do not offer full or partial refunds for unused subscription time, even if you choose to cancel before your term ends.
3.2 Business Closure Policy
- There is no business closure event foreseen on the horizon for Trade Confident LLC. However, in the unlikely event that the Company ceases operations permanently, memberships will not be refunded for any remaining time in the subscription term.
- By purchasing a monthly membership, you acknowledge and accept the risk that Trade Confident LLC may discontinue operations in the future and that no refunds will be provided in such a case.
- You also agree not to pursue legal action against Trade Confident LLC or its owners to seek a refund, as it has been clearly disclosed that subscriptions are non-refundable under all circumstances.
3.3 Legal Basis for No Refunds
Trade Confident LLC enforces this no-refund policy in accordance with applicable federal and state consumer protection laws, including but not limited to:
- Federal Trade Commission (FTC) Guidelines – Under 16 CFR § 429.1, businesses are generally not required to offer refunds unless expressly stated in their refund policy. Trade Confident LLC clearly discloses its no-refund policy before purchase, making it legally enforceable.
- California Business & Professions Code § 17200 – Permits businesses to enforce a no-refund policy for prepaid services as long as it is clearly stated before the sale - which it is here.
- California Civil Code § 1750 (Consumers Legal Remedies Act) – Requires that refund policies be disclosed prior to purchase but does not require refunds unless the business has engaged in fraud or misrepresentation. Trade Confident is fully compliant and dismissed from misrepresentation as refund terms have been laid out here before purchase, providing full disclosure upfront.
- Uniform Commercial Code (UCC) § 2-106 – Defines "sale" as a completed transaction where goods/services are exchanged for payment. Once a subscription is purchased, it is considered a completed sale, and refunds are not required unless explicitly promised in the contract.
3.4 No Refunds for Voluntary Cancellations or Dissatisfaction
- Refunds will not be granted if you choose to cancel early or decide the service is no longer valuable to you.
- Dissatisfaction with the service does not qualify for a refund. Potential subscribers are encouraged to ask questions via email at betradeconfident@gmail.com before purchasing a monthly membership.
4. Subscription Cancellations
- You may cancel a monthly subscription at any time, but no refunds will be issued for unused time.
5. Changes to Services
- We reserve the right to modify, suspend, or discontinue any part of our services at any time, with or without notice.
6. Governing Law & Legal Acknowledgment
- This Agreement is governed by and interpreted in accordance with the laws of the State of California, without regard to its conflict of law principles.
- Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts in [Butte County, California].
- By purchasing a subscription, you waive the right to pursue legal claims for refunds due to business closure, as it has been clearly disclosed and agreed upon that refunds will not be issued under any circumstances, and you agree this is a risk you are willing to accept.
